5. Intellectual Property Rights

Client Ownership

Upon full payment, clients own all rights to the final delivered work. This includes:

• Full copyright ownership of the completed written content
• The right to publish, distribute, modify, and use the work as desired
• The right to claim authorship of the work

Portfolio and Promotional Rights

SilokiInk LLC retains the right to:

• Reference completed projects in our portfolio (with client permission for confidential projects)
• Use general project descriptions (without disclosing confidential client information) for promotional and marketing purposes
• Display excerpts or samples of work (with client permission) on our website and marketing materials

Clients may request confidentiality for specific projects, in which case we will not publicly reference or display the work without written permission.

Work-in-Progress

Until final payment is received, SilokiInk LLC retains all rights to work-in-progress, drafts, and preliminary materials.

Pre-existing Materials

Clients retain all rights to any pre-existing materials, content, or intellectual property they provide to SilokiInk LLC for the purpose of completing projects.

6. Payment Terms

Quotes and Estimates

All quotes and estimates are based on the project scope as initially described. Changes to project scope may result in adjusted pricing.

Payment Structure

Payment terms vary depending on project type and size:

• Small Projects: Full payment due upon project completion
• Medium Projects: 50% deposit required to begin work, with remaining balance due upon completion
• Large Projects: Payment schedule established in project agreement (typically milestone-based payments)
• Ongoing Services: Monthly invoicing or retainer arrangements as agreed

Invoicing

Invoices will be sent electronically via email. Payment is due within the timeframe specified on the invoice (typically within 15-30 days of invoice date).

Accepted Payment Methods

• Bank transfer (ACH/Wire)
• Check (made payable to SilokiInk LLC)
• Digital payment platforms (PayPal, Venmo, Zelle) as agreed
• Credit/Debit card (if applicable)

Late Payments

Payments not received by the due date may be subject to:

• A late fee of 1.5% per month (18% annual percentage rate) or the maximum rate permitted by law, whichever is lower
• Suspension of work on ongoing projects until payment is received
• Collection proceedings for severely overdue accounts

All prices are quoted and payable in United States Dollars (USD) unless otherwise specified.

7. Project Timelines and Deliverables

Timeline Estimates

Project timelines are estimates based on the agreed-upon project scope and client availability for feedback and approvals. Timelines may be affected by:

• Changes to project scope
• Delays in receiving client feedback or materials
• Unforeseen circumstances or emergencies
• Complexity of subject matter requiring additional research

Deliverables

Final deliverables will be provided in the format(s) agreed upon in the project agreement (e.g., Microsoft Word, PDF, Google Docs).

Client Review Periods

Clients are expected to review drafts and provide feedback within the agreed-upon timeframe (typically 5-10 business days). Projects may be considered complete if no feedback is received within 30 days of delivery.

8. Revisions Policy

Included Revisions

Our standard services include a reasonable number of revisions based on project type:

• Editing Projects: One round of revisions included
• Writing Projects: Two rounds of revisions included for major content changes
• Translation Projects: One round of revisions included for accuracy and clarity

Scope of Revisions

Included revisions cover corrections and adjustments within the original project scope. Revisions do not include:

• Substantial changes to project scope or direction
• Complete rewrites due to changed client preferences
• New content additions beyond the original agreement

Additional Revisions

Revisions beyond those included in the project agreement will be billed at our standard hourly rate or as a separate project, depending on the extent of changes required.

Revision Timeline

Revision requests must be submitted in writing with specific, detailed feedback. Turnaround time for revisions depends on the extent of changes and current workload.

9. Cancellation and Refund Policy

Client Cancellation

Clients may cancel a project at any time by providing written notice. In the event of cancellation:

• Before Work Begins: Full refund of any deposits, minus a 10% administrative fee
• After Work Begins: Payment due for all work completed to date, calculated based on project milestones or hourly rate. Remaining deposit balance will be refunded.
• Final Stages: If project is more than 75% complete, full project fee is due

SilokiInk Cancellation

SilokiInk LLC reserves the right to cancel or refuse service in the following situations:

• Client requests services that violate our ethical standards or legal requirements
• Client fails to provide necessary materials or feedback after repeated requests
• Client demonstrates abusive, threatening, or unprofessional behavior
• Non-payment or repeated late payments

In such cases, clients will be charged only for work completed to date, and any unused portion of deposits will be refunded.

Refund Process

Approved refunds will be processed within 14 business days to the original payment method.

Quality Guarantee

We stand behind the quality of our work. If you are unsatisfied with the final deliverable due to quality issues (not subjective preference changes), we will work with you to resolve concerns or provide a partial refund as appropriate.

10. Confidentiality

SilokiInk LLC respects client confidentiality and privacy. We will not disclose client information or project details to third parties except:

• With explicit client permission
• When required by law or legal process
• To service providers necessary for project completion (e.g., specialized translators), who are bound by confidentiality agreements

For projects requiring additional confidentiality protections, Non-Disclosure Agreements (NDAs) can be executed upon request.

11. Limitation of Liability

To the maximum extent permitted by law:

• SilokiInk LLC's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific project in question
• SilokiInk LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, business opportunities, or data
• SilokiInk LLC is not responsible for technical issues, including data loss, system failures, or transmission errors
• Clients are responsible for maintaining backups of all materials provided to SilokiInk LLC

Professional Services Disclaimer

SilokiInk LLC provides professional writing, editing, and translation services. However:

• We do not guarantee publication, commercial success, or specific outcomes from our services
• Translation services aim for accuracy but may not capture every cultural nuance in highly technical or specialized contexts
• Editing services improve clarity and correctness but do not guarantee error-free content
• Clients are responsible for final review and fact-checking of all content before publication or distribution

12. Warranty and Disclaimer

SilokiInk LLC warrants that:

• Services will be performed with professional care and expertise
• All work will be original (except for editing/translation of client-provided content)
• We will meet agreed-upon deadlines to the best of our ability

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, SILOKIINK LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Sacramento County, California.

14. Dispute Resolution

Informal Resolution

In the event of any disagreement or dispute, we encourage clients to first contact us directly to seek an informal resolution. We are committed to working with clients to resolve issues amicably and professionally.

Mediation

If informal resolution is unsuccessful, both parties agree to attempt to resolve the dispute through mediation before pursuing litigation. Mediation costs will be shared equally between parties.

Arbitration

If mediation fails, disputes may be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Sacramento, CA 95811.

Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or confidential information without first pursuing mediation or arbitration.

Clients agree to indemnify and hold harmless SilokiInk LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Client's breach of these Terms and Conditions
• Client's violation of any law or regulation
• Infringement of third-party intellectual property rights by materials provided by the client
• Client's use or publication of completed work in a manner that violates law or third-party rights

16. Force Majeure

SilokiInk LLC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or public health emergencies
• War, terrorism, civil unrest, or government actions
• Power outages, internet service disruptions, or technology failures
• Severe illness or personal emergencies affecting key personnel

In such events, project timelines will be extended by a reasonable period, and clients will be notified as soon as possible.

17. Independent Contractor Relationship

SilokiInk LLC operates as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between SilokiInk LLC and clients.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms and Conditions, together with any project-specific agreements, invoices, and our Privacy Policy, constitute the entire agreement between SilokiInk LLC and the client regarding our services. These Terms supersede all prior oral or written agreements, understandings, or representations.

20. Amendments and Modifications

SilokiInk LLC reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date.

For existing projects, the Terms in effect at the time of project agreement shall apply. For new projects or services, the most current Terms shall apply.

Continued use of our services after changes to these Terms constitutes acceptance of the modified Terms.

21. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. SilokiInk LLC's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

22. Assignment

Clients may not assign or transfer their rights or obligations under these Terms without prior written consent from SilokiInk LLC. SilokiInk LLC may assign these Terms or delegate responsibilities to qualified contractors or successors in interest.
